Anthropic may sell up to 552.9 billion yen (about $3.5 billion) of shares to Japanese investors as part of its planned US initial public offering, according to a Japanese filing reported by Reuters. The conversion uses 157.82 yen per dollar.

The company said the Japan tranche was disclosed in its S-1 registration statement. Reuters reports that the S-1 was filed with the US Securities and Exchange Commission on 26 October. The filing does not give the offering size or valuation.

Mizuho Securities will manage the Japan portion. Goldman Sachs, Mitsubishi UFJ Morgan Stanley Securities and Morgan Stanley MUFG Securities are among the firms taking subscriptions. Investors in Australia, Canada, parts of Europe, Switzerland and the UK can also take part.

Proceeds are intended to fund working capital, operating expenses and capital expenditure, according to the filing.

Japanese investors took $2.2 billion of SpaceX's $75 billion IPO in June, which serves as a precedent for the structure.

Some investors have discussed a valuation near $1.5 trillion, according to Reuters. Other reports cite $1.8 trillion to $2 trillion. Neither figure has been confirmed in the filing.

A newsletter attributed to IFR reports a roadshow in the week of 9 November and a debut around 20 November. These dates have not been confirmed. The final amount of the Japan tranche will not be known until pricing.
